Terms of Service

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

You may authenticate using Google OAuth or phone number verification. By using Google OAuth, you authorize us to access the basic profile information (name and email) associated with your Google account.

3. Description of the Service

YouGSD is an AI-powered business management platform designed for field service businesses. The Service includes:

• Flo AI Assistant: A conversational AI delivered as a Custom GPT on ChatGPT that helps you manage your business operations through natural language.
• Customer Management: Create and manage customer records and contact information.
• Quoting & Invoicing: Generate quotes, convert quotes to invoices, and track payments.
• Job Scheduling: Schedule, assign, and track jobs and appointments.
• Expense Tracking: Record expenses, categorize costs, and track mileage for tax purposes.
• Payment Processing: Accept customer payments through integrated payment processing (powered by Stripe).
• SMS Communications: Send quotes, invoices, and messages to your customers via SMS (powered by Twilio).
• Web Dashboard: View and manage all business data through a responsive web application.

4. Your Data

You own your data. All business data you create through the Service — including customer records, jobs, quotes, invoices, expenses, notes, and files — remains your property. We do not claim ownership of any content you create, upload, or store through the Service.

You grant us a limited, non-exclusive license to use, process, and store your data solely to provide, maintain, and improve the Service. This license terminates when you delete your account or the relevant data.

You are responsible for the accuracy and legality of the data you provide. You represent that you have all necessary rights and consents to upload and process any data through the Service, including customer personal information.

5. AI-Generated Content

The Flo AI assistant generates responses, suggestions, and business documents based on your inputs and data. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before relying on it or sending it to your customers.

Flo is a tool to assist your business, not a substitute for professional advice. For legal, tax, financial, or regulatory matters, consult a qualified professional.

6. Pricing and Payment

YouGSD is currently free to use. Pricing terms will be communicated before any charges are applied. We will provide at least thirty (30) days' notice before implementing or changing any fees.

If the Service includes payment processing features (powered by Stripe), standard payment processing fees apply as disclosed at the time of transaction. We may also earn a referral fee or commission on third-party services recommended through the platform, which will be disclosed before any such transaction.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in fraud, deception, or misrepresentation.
• Send unsolicited communications (spam) to individuals who have not consented to receive messages from you.
• Transmit malware, viruses, or any malicious code.
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
• Reverse engineer, decompile, or disassemble the Service.
• Use the Service in any manner that could interfere with, disable, or overburden our infrastructure.
• Scrape, harvest, or collect data from the Service through automated means.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in activity that we reasonably believe is harmful to the Service or other users.

8. Third-Party Services

The Service integrates with third-party services including Google (authentication, contacts, calendar), OpenAI (ChatGPT platform for Flo), Stripe (payments), and Twilio (SMS). Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Intellectual Property

The Service, including its design, software, logos, trademarks, and documentation, is owned by Kyber Industrial LLC and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

We welcome feedback and suggestions about the Service. By submitting feedback, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, FINANCIAL CALCULATIONS, OR TAX-RELATED INFORMATION PROVIDED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYBER INDUSTRIAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Kyber Industrial LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the data you upload, create, or transmit through the Service.

13. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service ceases immediately. You may request an export of your data prior to termination. We will retain your data for thirty (30) days after termination to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

14. Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration taking place in Lancaster County, Pennsylvania.

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we will provide notice through the Service or via email. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kyber Industrial LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
